Terms of Service

This is an English translation of the Russian Public Offer Agreement. In case of discrepancy, the Russian-language version available at https://neuromia.ru/terms shall prevail.

Public Offer Agreement

1. This document is an official offer (public offer) by sole proprietor Kiselev Sergey Vitalyevich (hereinafter — the Contractor) and contains all material conditions for providing access to the AI-aggregator platform and related consulting services.

2. In accordance with clause 2 of article 437 of the Civil Code of the Russian Federation (CC RF), upon acceptance of the conditions below and payment for services, the legal entity or individual making the acceptance becomes the Customer (under clause 3 of article 438 of the CC RF, acceptance of the offer is equivalent to entering into a contract on the terms set out in the offer), and the Contractor and the Customer jointly become the Parties to this agreement.

3. In view of the above, please carefully read the text of this public offer and review the price list. If you do not agree with any clause, the Contractor invites you to refrain from using the services.

4. Offer — this document "Public Offer Agreement for access to the Neuromia AI aggregator platform by sole proprietor Kiselev Sergey Vitalyevich", published online at: https://neuromia.ru/terms

5. Acceptance of the offer — full and unconditional acceptance of the offer through actions specified in clause 16 below. Acceptance forms a contract.

6. Customer — a person who has accepted the offer and is therefore a customer of the Contractor's services under the resulting contract.

7. Offer contract — the contract between the Contractor and the Customer for the provision of access to the AI-aggregator platform and related consulting services, entered into through acceptance of the offer.

8. Price list — the current systematic list of the Contractor's services with prices, published at https://neuromia.ru and attached to this offer.

9. The subject of this offer is the provision to the Customer of access to the Neuromia AI-aggregator platform and related consulting services in accordance with the terms of this offer and the Contractor's current price list.

10. The list of services and available models is published at https://neuromia.ru, which is an integral part of this offer.

11. The public offer and its annex are official documents and are published online at https://neuromia.ru/terms

12. The Contractor has the right at any time to unilaterally amend the price list and the terms of this public offer without prior consultation with the Customer, provided that the amended terms are published at https://neuromia.ru/terms at least one day before entry into force.

13. Services are provided in full upon 100% (one hundred percent) payment by the Customer (top-up of the credit balance in the personal cabinet).

14. Having reviewed the price list and the text of this public offer, the Customer registers on the website https://neuromia.ru

15. After registration, the Customer is able to top up the credit balance in the personal cabinet.

16. The Customer transfers funds by paying through any payment method available via the payment gateway provided by the Contractor's partners.

16.1 Top-up payments can be made with Visa, Mastercard, Mir bank cards or via payment systems. When paying by bank card, payment security is ensured by a partner processing centre with a confirmed PCI DSS compliance certificate covering the storage, processing and transmission of cardholder data. Your confidential payment details (card number, registration data, etc.) are not received by Neuromia — they are processed on the side of the processing centre and fully protected.

17. Once the Customer has paid and the funds (credits) are credited to the personal cabinet, the offer contract enters into force.

18. Services (access to models, content generation) are provided to the Customer immediately upon deduction of credits from the personal-cabinet balance. The execution time of a single generation depends on the selected model and current provider load and may range from a few seconds to several minutes.

19. A service is deemed properly and fully rendered at the moment the generation result is successfully delivered to the Customer's personal cabinet. If within three days from the moment of rendering no reasoned objection is sent by the Customer to support@neuromia.ru, no quality claims will be accepted.

20. The Contractor makes every effort to ensure high-quality and uninterrupted provision of services in accordance with the price list.

21. The Contractor is not liable for breach of the offer contract caused by force majeure or circumstances beyond the Contractor's control, including: changes in the operation of third-party AI providers (OpenAI, Anthropic, Google, ByteDance and others), actions of public authorities, fire, flood, earthquake, other natural events, power outages and/or network failures, strikes, civil unrest, riots, and any other circumstances, not limited to those listed, that may affect the Contractor's performance under this public offer and that are outside the Contractor's control.

22. If services cannot be provided due to the Contractor's fault, the Contractor undertakes to refund the funds paid by the Customer. In other cases, funds are not refunded. See the Refund Policy for details.

22.1 Refunds are processed to the same payment instrument from which the payment was made.

23. For non-performance or improper performance of obligations under this public offer, the Parties bear liability in accordance with the current legislation of the Russian Federation. The agreement enters into force at the moment of acceptance of the offer and remains in force until the Parties have fulfilled their obligations. All disputes are resolved through negotiations between the Parties. The period for considering claims is thirty days.

24. The Service is intended for persons aged eighteen years and over. By accepting this offer, the Customer confirms that they are at least 18 years old and have the legal capacity required to enter into this agreement. The Contractor may restrict access to the Service where there are grounds to believe that the Customer is below that age.

25. Prohibited use. The Customer may not use the Service to create, store, publish or distribute materials that violate the legislation of the Russian Federation, including but not limited to:

• pornographic materials and other materials of a sexualised nature (Article 242 of the Criminal Code of the Russian Federation);
• extremist and terrorist materials, public justification of terrorism, symbols of prohibited organisations (Federal Law No. 114-FZ of 25 July 2002; Articles 205.2, 280, 280.1 of the Criminal Code; Article 20.3 of the Code of Administrative Offences);
• propaganda of narcotic drugs and psychotropic substances, or instructions for their manufacture (Article 6.13 of the Code of Administrative Offences; Article 228.1 of the Criminal Code);
• incitement to suicide and promotion of life-threatening activities (Articles 110.1, 110.2 of the Criminal Code);
• propaganda of non-traditional sexual relations, paedophilia and gender reassignment (Articles 6.21, 6.21.1, 6.21.2 of the Code of Administrative Offences);
• knowingly false information about the use of the Armed Forces of the Russian Federation and their discreditation (Article 207.3 of the Criminal Code; Article 20.3.3 of the Code of Administrative Offences);
• materials inciting hatred or enmity, or insulting religious feelings (Articles 282, 148 of the Criminal Code);
• images of forged documents, banknotes, seals and signatures (Articles 327, 186 of the Criminal Code);
• instructions for manufacturing weapons, explosives or malicious software (Articles 222, 223, 273 of the Criminal Code);
• materials infringing the exclusive rights of third parties, including rights to works and trademarks;
• materials misleading as to the identity of real persons (deepfakes), as well as pseudo-medical advice and offers of gambling or financial pyramid schemes.

26. Separately and unconditionally, it is prohibited to create, store or distribute any materials of a sexualised nature involving or depicting minors, including fully synthetic images created without the involvement of real persons and images of adults presented as minors (Articles 242.1, 242.2 of the Criminal Code of the Russian Federation). Where such use is identified, access to the Service is terminated immediately and without prior notice, any remaining balance is not refunded, and information about the violation and the Customer is transferred to law enforcement authorities.

27. By uploading images, audio recordings or other materials, the Customer confirms that they hold the necessary rights to them and, where such materials contain the image or voice of another person, that they have obtained that person's consent in accordance with Articles 152.1 and 152.2 of the Civil Code of the Russian Federation. The Customer bears responsibility for any infringement of third-party rights.

28. In the event of a breach of clauses 24 to 27 of this offer, the Contractor may, without prior notice, delete the materials created, suspend or terminate the Customer's access to the Service, and refuse to refund funds and the remaining credit balance. The Customer bears personal responsibility for such breaches, and the Contractor reserves the right to disclose information about such a Customer to the public authorities.

29. Reports of violations, including those from users, rights holders and authorised state bodies, are to be sent to support@neuromia.ru. The Contractor reviews such reports and takes measures to restrict access to the disputed materials within twenty-four hours of receiving the report, unless a different period is established by law. A detailed list of prohibitions, the moderation procedure for publications in the Community section and the procedure for submitting complaints are set out in the Acceptable Use Policy, which forms an integral part of this offer.
